Delaware LLCs file no annual report; they pay a flat annual tax by June 1 (starting the year after formation). HB 400 (signed May 21, 2026) raised this tax from $300 to $400 for tax year 2026 (first payable June 1, 2027). $200 penalty + 1.5%/month interest if late.

Certificate of Amendment — domestic LLC $220 The published $220 is the $180 statutory fee under 6 Del. C. § 18-1105(a)(3) plus the municipality fee the Division adds to domestic LLC filings. Foreign LLC amendment is $200. Expedite adds $200 same-day or $100 for 24-hour.
Certificate of Amendment changing only the registered agent or registered office $50 Domestic or foreign. The document must be specifically captioned as a certificate of amendment changing only the registered office or registered agent to qualify for $50 instead of the $220 general amendment fee (6 Del. C. § 18-1105(a)(11)).

Revival of a domestic LLC (reinstatement after tax cancellation) $220 Filing fee only. 6 Del. C. § 18-1109 also requires payment of the annual tax and every penalty and interest charge outstanding at the time the certificate of formation was cancelled, so the real cost of reinstatement is the $220 plus at least three years of $400 tax and $200 penalties.

Online vs. mail vs. counter

Miss the deadline: what it actually costs

Delaware LLCs file no annual report, so the only recurring obligation is the flat $400 annual tax due June 1 for the preceding calendar year. Miss it and 6 Del. C. § 18-1107(e) adds a flat $200 penalty, and § 18-1107(c) runs interest at 1.5% per month on the tax and penalty combined until paid. The penalty is per delinquent year, not once. The non-monetary consequences bite harder than the money: under § 18-1107(h) the LLC ceases to be in good standing the moment the tax is late; under § 18-1107(k) the Secretary of State will refuse to accept any certificate for filing — amendment, merger, conversion — and will not issue a certificate of good standing until the arrears are cleared; under § 18-1107(l) the LLC cannot maintain any action in a Delaware court; and under § 18-1107(j) the Attorney General may petition the Court of Chancery for an injunction barring the LLC from transacting any business once the tax has been in arrears three months. If the tax stays unpaid for three years, § 18-1108(a) automatically cancels the certificate of formation on the third anniversary of the due date.

An LLC owes $400 for calendar year 2026, payable by June 1, 2027. It misses the date. On June 2, 2027 the balance is already $600 ($400 tax + $200 penalty) and the LLC has ceased to be in good standing — it cannot obtain a good standing certificate, cannot file an amendment, and cannot sue in a Delaware court. Interest accrues at 1.5% per month on the $600, or $9.00 per month. Paying twelve months late on June 1, 2028 costs roughly $708 ($400 + $200 + $108 interest). Each additional year missed adds its own $400 tax and $200 penalty on top. If the 2026 tax is still unpaid on June 1, 2030 — the third anniversary of the due date — the certificate of formation is cancelled automatically, and the Division publishes the cancelled-entity list online by October 31 of that year. Reviving the LLC then costs $220 to file the certificate of revival plus every year of back tax, penalty and interest outstanding at cancellation. (source)
