The $800 is the annual minimum franchise tax owed to the Franchise Tax Board regardless of income or activity. SEPARATE from this: (1) a tiered gross-receipts 'LLC fee' (FTB Form 3536) on total California income — $0 under $250k, $900 ($250k–$499,999), $2,500 ($500k–$999,999), $6,000 ($1M–$4,999,999), $11,790 ($5M+); and (2) a $20 Statement of Information (Form LLC-12) filed with the Secretary of State within 90 days of formation and every 2 years thereafter ($250 penalty if missed). First-year $800 exemption (AB 85) expired for LLCs formed after 2023, so the $800 now applies in year one. EXCEPTION: under SB 122 (2026, Ch. 23), an LLC whose FIRST taxable year begins in 2027-2029 pays a reduced $400 (instead of $800) for that first year only; year two returns to $800.

The SOS domestic-LLC forms page lists the same $30 for a name-change-only amendment (LLC-2-NA).
Restated Articles of Organization (Form LLC-10) $30
Certificate of Correction (Form LLC-LP-11) $30 Used to fix an error in an already-filed document; it is a new $30 filing, not a free do-over.
Name reservation (60 days) $10 Gov't Code § 12190: 'Issuing a certificate of reservation of limited liability company name: Ten dollars ($10).' The reservation runs up to 60 days, and Corp. Code § 17701.09(a) bars back-to-back renewals: 'The Secretary of State shall not issue certificates reserving the same name for two or more consecutive 60-day periods to the same applicant.'

Registered agent (agent for service of process) change $20 California has no standalone change-of-agent form for LLCs. The SOS FAQ (https://www.sos.ca.gov/business-programs/business-entities/faqs) directs you to 'File online at bizfileOnline.sos.ca.gov the Statement of Information – CA and Out-of-State LLC' — so the cost is the $20 LLC-12 fee shown on the linked Statement of Information page, and the agent is a required field of that statement (Corp. Code § 17702.09(a)(2)).
Certificate of Dissolution (LLC-3) / Certificate of Cancellation (LLC-4/7) $0 Gov't Code § 12190 expressly says 'No fee' for a certificate of dissolution or a certificate of cancellation of articles of organization. Closing the LLC with the SOS is free — the expensive part is clearing the FTB first.
Reinstatement / revivor of a suspended LLC $20 There is no separate SOS 'reinstatement fee' in Gov't Code § 12190. The SOS FAQ (https://www.sos.ca.gov/business-programs/business-entities/faqs) cures an SOI-driven suspension by 'Filing a current Statement of Information online at bizfileOnline.sos.ca.gov' — the $20 fee on the linked page. If the suspension is tax-driven, the FTB must also revive the entity, and the $250 R&TC § 19141 penalty plus any unpaid $800 tax, gross-receipts fee, penalties and interest have to be cleared first.
Expedited filing — 24-hour (Class C) $350 Available online through bizfile or by counter drop-off. Fee is on top of the underlying filing fee.
Expedited filing — same-day (Class B) $750 Request must be received by 9:30 a.m.; the SOS returns the filing by 4:00 p.m. the same day. Online or drop-off.
Expedited filing — 4-hour (Class A) $500 Counter drop-off only, and only after the document has been precleared and approved — so realistically $500 expedite + $500 preclearance + $15 drop-off handling on top of the $70 formation fee.
24-hour preclearance of a document $500 Drop-off only. Preclearance is the SOS reviewing a draft for filability before you submit it; it is a prerequisite for 4-hour Class A filing.
Counter drop-off special handling — filing request $15 $15 per filing request delivered in person to the Sacramento office. The SOS retains this fee whether the request is approved or rejected.

Online vs. mail vs. counter

Miss the deadline: what it actually costs

California splits the annual obligation across two agencies, and each has its own late mechanic. (1) The $800 annual franchise tax goes to the Franchise Tax Board and is 'due and payable on or before the 15th day of the fourth month of the taxable year' (R&TC § 17941(a)). Miss it and R&TC § 19132 imposes a failure-to-pay penalty of 5% of the unpaid tax plus 0.5% per month of the remaining tax for each additional month or fraction thereof, for up to 40 months, with the total capped at 25% of the unpaid tax — plus interest. There is no automatic administrative dissolution on a fixed clock; instead the LLC is exposed to FTB suspension/forfeiture, and while suspended it loses the right to prosecute or defend a lawsuit and to enforce its contracts. (2) The $20 Statement of Information (Corp. Code § 17702.09) is the Secretary of State's side: due within 90 days of formation, then biennially. If the LLC does not file within 60 days after the SOS mails a notice of delinquency, the SOS certifies the delinquency to the FTB, which 'shall assess a penalty of two hundred fifty dollars ($250)' under R&TC § 19141 — a flat, final assessment on which no interest accrues — and the entity is subject to suspension or forfeiture. A separate 10% underpayment penalty applies to the estimated gross-receipts LLC fee under R&TC § 17942.

A calendar-year California LLC owes its $800 annual tax by April 15, 2026 and pays nothing until October 15, 2026 — six months late. R&TC § 19132 charges 5% of the unpaid tax up front (5% x $800 = $40), then 0.5% of the remaining tax for each additional month (0.5% x $800 = $4/month x 5 further months = $20). Penalty ≈ $60 on top of the $800, plus interest, and it keeps climbing at $4/month until it hits the 25% statutory cap of $200. Now suppose the same LLC also blows its biennial Statement of Information window: the SOS mails a delinquency notice, the LLC still does nothing for 60 days, the SOS certifies the delinquency under Corp. Code § 17713.09, and the FTB assesses a flat $250 under R&TC § 19141. Total to get current: $800 tax + ~$60 late-payment penalty + interest + $20 to file the delinquent LLC-12 + $250 SOI penalty ≈ $1,130, and the LLC sits suspended — unable to sue or enforce contracts — until the FTB revives it.
